These Terms of Sale ("Terms") govern all purchases, license key issuances, and financial transactions for the Tacit desktop software ("Software") conducted through the website located at https://runtacit.com (the "Site"), operated by Tacit LLC ("Company", "We", "Us", or "Our").
By purchasing a license key or completing a transaction on the Site, you agree to be bound by these Terms, Our End User License Agreement (EULA), and Our Privacy Policy. If you do not agree to these Terms, do not complete your purchase.
1. SOFTWARE LICENSING & EVALUATION TIER
- Free Evaluation Tier: Tacit provides a built-in, free evaluation tier allowing up to three (3) audio file processing operations per calendar week. You are strongly encouraged to utilize the Free Evaluation Tier prior to purchase to verify software compatibility, performance, and hardware support on your system.
- Commercial Key Purchase: Purchasing an Unlimited License Key removes the weekly processing cap and unlocks unrestricted local execution in accordance with the EULA. A license key purchase grants a software license; it does not constitute a sale of the underlying intellectual property or source code.
2. NO-REFUND POLICY
DUE TO THE DECENTRALIZED, OFFLINE-FIRST NATURE OF THE SOFTWARE AND THE IMMEDIATE CRYPTOGRAPHIC ISSUANCE OF UNLOCK KEYS, ALL SALES ARE FINAL AND NON-REFUNDABLE.
By completing a purchase, you explicitly acknowledge and agree that:
- You have tested the Software using the Free Evaluation Tier prior to purchase.
- Digital license keys are delivered immediately upon checkout completion and cannot be "returned" or deactivated by Licensor.
- Tacit LLC does not offer refunds, exchanges, or store credits for purchases due to hardware incompatibility, change of mind, user operational error, or failure to back up issued keys.
3. EPHEMERAL KEYS & UNRECOVERABLE LICENSE POLICY
- Zero-Telemetry Identity Binding: License keys are generated using an offline Ed25519 cryptographic signature tied exclusively to a non-identifying Hardware Device ID (
.tacit_id) generated on your local machine. - No Central Account / No Key Recovery: Tacit LLC maintains no customer user accounts, central user databases, or email tracking logs. Tacit LLC cannot recover, resend, or re-issue lost, deleted, or misplaced license keys.
- Customer Responsibility: Your cryptographic key is displayed on your screen exactly once upon checkout completion. You bear 100% individual responsibility for copying and saving your license key to a secure storage location (such as a password manager or backup file) immediately upon purchase.
4. PAYMENT PROCESSING & TAXES
- Third-Party Payment Gateways: All transactions are processed using third-party payment processors or Merchant-of-Record (MoR) platforms (e.g., Stripe, Lemon Squeezy, or Paddle). By submitting payment information, you authorize our third-party processors to charge your payment method for the total order amount.
- Taxes: You are responsible for any applicable sales, use, value-added (VAT), or local taxes associated with your purchase, which will be calculated and collected at checkout by the payment processor where required by law.
5. DISCLAIMER OF PERFORMANCE & ACCURACY
You acknowledge that AI-based ad detection relies on semantic heuristics and probabilistic natural language processing. While Tacit LLC continually refines detection accuracy, We do not guarantee 100% ad-stripping precision across all audio formats, host-read styles, or podcast genres. Variations in detection quality do not entitle the purchaser to a refund or chargeback.
6. CHARGEBACK PREVENTATIVE CLAUSE
Initiating an unauthorized credit card chargeback or payment dispute for a validly delivered digital key constitutes a breach of these Terms. In the event of a fraudulent chargeback or dispute, Tacit LLC reserves the right to cryptographically revoke or blacklist the affected license signature in future software releases and seek recovery of administrative fees permitted by law.
7. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
