Tacit LLC ("Company", "Tacit", "We", "Us", or "Our") respects the intellectual property rights of creators, podcasters, and copyright holders, and expects users of our website located at https://runtacit.com (the "Site") and the Tacit desktop application (the "Software") to do the same.
This DMCA Copyright Policy outlines Our policy regarding copyright infringement claims in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA").
1. NON-HOSTING ARCHITECTURE DISCLAIMER
Tacit LLC operates as a provider of local, client-side software utilities.
You explicitly acknowledge and understand that Tacit LLC DOES NOT:
- Host, store, re-stream, re-transmit, or publish copyrighted audio files, podcast feeds, or media content on central servers or on the Site.
- Maintain a central directory, index, or public database of copyrighted media.
- Intercept, re-route, or modify media transmissions between third-party publishers and end users on Our network servers.
All media analysis, transcription, and file editing routines performed by the Software execute locally and privately on the end user's personal computing hardware at the user's sole direction.
2. SUBMITTING A DMCA TAKEDOWN NOTICE
If you are a copyright owner, or an agent authorized to act on behalf of a copyright owner, and you believe in good faith that any content, material, or link available on or through the Site (https://runtacit.com) infringes upon your copyright, you may submit a written DMCA Takedown Notice to Our Designated Copyright Agent.
To be effective under 17 U.S.C. § 512(c)(3), your written notice must include substantially the following information:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works.
- Identification of the material on Our Site that is claimed to be infringing or to be the subject of infringing activity, and that is to be removed or access to which is to be disabled, along with information reasonably sufficient to permit Us to locate the material (e.g., specific URLs).
- Information reasonably sufficient to permit Us to contact you, such as an address, telephone number, and, if available, an email address.

4. COUNTER-NOTIFICATION PROCEDURE
If material you posted on the Site has been removed or access to it has been disabled following a DMCA Notice, and you believe that the material was removed or disabled as a result of mistake or misidentification, you may send a written Counter-Notification to Our Designated Agent containing:
- Your physical or electronic signature.
- Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled.
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material.
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or the United States District Court for the District of Wyoming if your address is outside the United States), and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.
Upon receipt of a valid Counter-Notification, We will forward a copy to the original complaining party. If the copyright owner does not file an action seeking a court order within ten (10) to fourteen (14) business days, We may restore the removed material at Our sole discretion.
5. REPEAT INFRINGER POLICY
In accordance with the DMCA and other applicable laws, Tacit LLC maintains a policy of terminating or blocking access to the Site, in appropriate circumstance and at Our sole discretion, for users or web visitors who are deemed to be repeat infringers of intellectual property rights.
